The use of the eBizCard Website (“eBizCard”) is subject to this Terms of Use and Notices (“TOU & Notices”). By accessing and using eBizCard you agree to be bound by this TOU, and any Notices (which term shall include guidelines and rules) which may be posted by the App on eBizCard from time to time.

You agree that the App may modify and amend this TOU & Notices at any time without notice. Unless explicitly stated otherwise, any new service introduced by the App, shall be subject to this TOU. All such Notices are hereby incorporated by reference into the TOU. You are responsible for regularly reviewing the App’s TOU & Notices posted on eBizCard. By continuing to use eBizCard, you are deemed to have agreed to be bound by any modifications and amendments to this TOU & Notices.

閣下同意本App有權在未有通知的情況下更新及修改此條款及通告．除非明確指出，否則所有本App提供的服務也受此條款及通告約束。所有有關通告而包含於此條款內。閣下有責任定期檢閱本App在eBizCard張貼的條款及通告．而閣下繼續使用eBizCard時，即表示閣下同意受更新及修改後的條款及通告約束。

You can access eBizCard home page and browse eBizCard without disclosing your personal data. The service and links of eBizCard may include links to third party websites and are subject to Section 7 herein.

Owing to the global nature of the internet infrastructure, the information you provide may be transferred in transit to countries that do not have similar protection regarding your data and its use as set out in this terms and conditions by submitting your information you consent to these transfers.

"You" shall mean any user of eBizCard and "your" shall be interpreted accordingly.

“Member Service” shall mean the services made available to you by the App through eBizCard.

“會員服務”代表本App透過eBizCard對閣下提供的服務。

“Member Account” shall mean the membership service which retains all personal and confidential information pertaining to registered members of.

To be a registered member of eBizCard, you must provide the information required in the member registration form. You will need to provide a unique password and user ID upon completing the member registration process. You are responsible for maintaining the confidentiality of the password and user ID, and are fully responsible for all activities that occur under your password or user ID whether or not actually or expressly authorized and/or used by you.

若要成為eBizCard的會員，閣下必須提供在會員登記表內的各樣資料。閣下雖要在登記過程中提供一個獨家的用家名稱及密碼以完成登記程序．閣下要負責保密閣下的用家名稱及密碼和對透過使用閣下的用家名稱及密碼的所有行為負上全部責任，無論該使用為故意，無意，及是否經過閣下的授權。

the App reserves the right to terminate any dormant Member Account that has not been used for a period of six months or longer.

本App保留所有權利終止任何於六個月或以上沒有任何活動的會員帳戶。

Information on eBizCard may contain technical inaccuracies or typographical errors. Information may be changed or updated without notice. the App may also make improvements and/or changes to eBizCard and to the fees and rates for the Member Services, if any, at any time without notice.

在eBizCard上的資訊可能存在技術或編寫上的錯誤。資訊可能會被更新或更改而不作另行通知。本App亦可能於任何時間改進及／或更新eBizCard及會員服務的收費及費用而不作另行通知。

You agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the member registration form and (b) maintain and promptly update such registration data to keep it accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if the App suspects that such information is untrue, inaccurate, not current or incomplete, the App has the right to suspend or terminate your Member Account and refuse any and all current or future use of eBizCard (or any part thereof).

閣下同意（ａ）在填寫會員登記表格時提供關於閣下真實，準確，最新和完整的資料，並（ｂ）維持並及時更新己登記的資料以保証資料準確，最新和完整。任何錯誤、不實、過時、不完整或有誤導成分的資料，或者本App有合理的理由懷疑閣下的登記資料為錯誤、不實、過時、不完整或有誤導成分的資料，本公司有權暫停或終止閣下的帳號，並拒絕閣下於現在和未來使用本服務之全部或部分。

eBizCard may not be available to all devices which connect to the Internet. You assume all responsibility regarding the end-user equipment and software necessary to access eBizCard and assume all risk associated therewith.

eBizCard不一定能夠在任何連接互聯網的設備使用。閣下要承擔所有連接eBizCard的用戶端設備，相關軟件和相關的風險。

eBizCard may not be not available to be accessed from all regions and countries of the world. the App reserves the right, in its sole discretion, to limit or terminate your ability to access eBizCard from certain regions or countries, and you assume all risk associated with the accessibility of the Member Service and eBizCard from any given region or country of the world.

eBizCard不一定能夠在世界上任何國家或地區使用。本App保留權利，單方面限制或終止閣下在某些地區或國家連接eBizCard。閣下要承擔在全世界任何地區或國家所有和eBizCard會員服務連接性的風險。

the App reserves the right to limit or prohibit your entry into eBizCard in its sole discretion and shall not be liable for such limitation or prohibition.

You agree to use eBizCard only for lawful purposes and in accordance with this TOU & Notices.

閣下同意只會以合符法律的目的下使用eBizCard和遵守此條款及通告的內容。

You agree to (a) notify the App immediately of any unauthorised use or any other breach of security, and (b) ensure that you exit from Member Account at the end of each session. the App cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.

閣下同意（ａ）立即通知本App任何未經授權的使用或保安事故及（ｂ）確保每次使用會員帳戶後立即登出。本App不能夠亦不會對因為閣下未能附合以上的情況而導致的損失或破壞負上任何責任。

Your Member Account is not transferable and may not be assigned to any third party. eBizCard is provided to you for internal, personal use by you only. You may not allow any other person to: (a) resell, timeshare, sublicense, or otherwise transfer all or any portion of eBizCard to any other party; or (b) make commercial use of eBizCard without the express written consent of the App.

閣下的會員帳戶不能轉讓或安排於第三者。eBizCard只是供給閣下個人的使用。閣下不可讓其他人（ａ）轉售，分享，再許可或轉讓任何部份的eBizCard服務於其他人；或（ｂ）未經本App書面許可利用eBizCard作商業用途。

You agree to abide by all applicable local, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your usage, including the content of your communication through the Member Service. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct. Specifically, you agree to comply with all applicable laws regarding on-line communication in the country in which you reside.

閣下同意遵守所有適用的本地，國家及國際的法律及條例並對所有閣下透過使用會員服務及其通訊的內容的行為或疏忽負上全部責任。閣下亦明白到互聯網的全球性的性質，同意遵守所有地區有關網上行為的條例．尤其是，閣下同意遵守所有閣下所在地國家適用的網上通訊的法律。

You may not use eBizCard in any manner that could damage, disable, overburden, or impair eBizCard (or the network(s) connected to Member Service) or interfere with any other party's use and enjoyment of the Member Service. You may not attempt to gain unauthorized access to eBizCard and other Member Accounts, computer systems or networks connected to eBizCard, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through eBizCard.

閣下不可以以任何方法使用eBizCard而另到eBizCard（或其連接會員服務的網絡）受到損害，失效，過度繁忙或削弱或捍擾任何其他用家享用eBizCard的會員服務。閣下不可試圖以入侵，盗取密碼或任何方法獲得未經授權的方式連接eBizCard。閣下不可透過任何方法獲得或試圖獲得任何並非意圖發放於eBizCard的資訊或資料。

You agree to be responsible for payment of all applicable charges incurred as a result of your use of the Member Service, if any, including but not limited to the use or misuse by an unauthorised third party, or any error, accidental use or loss.

閣下同意負責繳付所有使用會員服務而產生的適用收費（如有），包括但不限於由未經授權的第三者使用，濫用，任何錯誤，意外使用或損失。

You may terminate and close your Member Account by e-mailing the webmaster of eBizCard from the e-mail address provided by you the time you opened your Member Account and created your user ID. Your e-mail must specify your user ID, and expressly state that you wish to terminate your Member Account.

閣下可以通過電郵致eBizCard的管理員終止或取消閣下的會員帳戶。在閣下的電郵必須表明閣下的會員名稱和閣下取終止會員帳戶的意願。

Without limiting anything herein contained, the App reserves the right to terminate the services of eBizCard and your use of the Member Account at any time without notice and for any reason.

沒有在此條款範圍限制在內，本App保留所有權利於任何時間及任何原因下終止eBizCard的服務及閣下使用會員帳戶的權利而不作另行通告。

In addition to any termination rights the App may have under this TOU & Notices, the App may suspend or terminate your Member Account and access to eBizCard without notice and in its sole discretion if:

You agree that the App shall not be liable to you or any third-party for any termination of your access to eBizCard or your Member Account.

the App makes no warranty that eBizCard will meet your requirement or that eBizCard will be secure, timely, uninterrupted or error free, or that any data, content, information, software or other material accessible on or through eBizCard or your Member Account are true, accurate, or are free of viruses or other harmful components. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to eBizCard for the reconstruction of any lost data. All use of eBizCard is at your own risk and you are solely responsible for all damages resulting therefrom.

本App不保證eBizCard能滿足閣下的要求或eBizCard能以安全，及時，不間斷或沒有任何錯誤地連接，或任何於eBizCard或透過會員服務獲得的資料，內容，資訊，軟件或其他內容是正確，準確，或沒有病毒或其他有害的部份。閣下須要負責履行足夠的步驟及安全檢驗去滿足閣下獨有對資料輸入和輸出的準確性的要求，及保持一些方法於eBizCard以外去重整任何損失的資料。閣下須要承擔所有使用eBizCard的風險及為該風險導致的損失個人完全負責。

eBizCard is not intended for "mission critical" circumstances and is provided on an "as is"　and "as available" basis, without warranties of any kind, express or implied, including, but not limited to warranties of title, quiet enjoyment, non-infringement or implied warranties of merchantability or fitness for a particular purpose.

eBizCard並非為“緊急任務”的環境而設並以“現狀”及“現有”的形式提供，並且不提供以下任何形式的，明示或默示的擔保，包括但不限於作品名目的擁有權的擔保、平靜受益權、特定目的之適用性及未侵害他人權利，默示商業適售性的擔保或特定目的之適用性。

To the maximum extent permitted by applicable law, the App disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non-infringement with respect to eBizCard and transactions performed through the service or on the Internet generally. the App makes no representations or warranties as to the quality of the call or any connection to or any transmission over the Internet.

在法律許可的最大情況下，本App不提供透過eBizCard會員服務於互聯網上進行的交易作任何明示或默示的擔保或陳述，包括但不限於商業適售性、特定目的之適用性、任何作品名目的擁有權及未侵害他人權利。本App不作任何陳述或保證任何於互聯網上的傳遞的質量。

In no event the App, or any party involved in creating, producing or providing any contents, materials, goods and/or services through eBizCard shall be liable for any direct, indirect, incidental, special, consequential or exemplary damages including but not limited to, damages for loss of revenue or anticipated profits, loss of business, goodwill, data or other intangible losses even if the App has been advised of the possibility of such damages resulting from but not limited to (i) the inaccuracy, invalidity or incompleteness of the contents and materials so provided by eBizCard; (ii) use of or inability to use eBizCard; (iii) the cost of procurement of substitute goods and/or services resulting from any goods data, information or services purchased or obtained through eBizCard; (iv) unauthorized access to or alteration of your transmission or information; and (vi) other matters related to eBizCard. In the event of any of the said circumstances results from the gross negligence or wilful act of the App, the claims that the Sites may account shall be limited to the amount of fees (if any) paid to the App for the use of goods and/or services.

本App、以及參與製作、出品、提供予eBizCard的任何資訊內容、資料、產品及╱或服務的其他人仕不承擔任何因這些資訊內容、資料、產品及╱或服務 所產生的直接、間接、附帶的、特別的、衍生性或懲罰性賠償包括但不限於收入、利潤、經營、商譽、使用、資料的損失或其他無形損失，即使本App已被知會包括但不限於以下因素可能導致前述賠償亦然，如(i)eBizCard提供的資訊內容和資料不正確、無效的或不完整；(ii)eBizCard之使用或無法使用；(iii)經由或透過eBizCard購買或取得之任何產品、資料、資訊或服務，或接收的訊息，或進行之交易所衍生之代替產品及服務之購買成本；(v)閣下的資料傳輸或資料遭到未獲授權存取或變造；(vi)以及eBizCard的任何其他相關事宜。如該等情況是因本App的嚴重疏忽或有意行為造成的，索償額將限於本App所收取的該項服務費用(如有)。

the App also disclaims any liability as a result of any damages or injury howsoever caused by use of eBizCard which results in mistake error omission interruption deletion defects, error or delay in transmission or receipt, computer virus followed by download, communication network failure, theft or destruction or unauthorized access, alteration of, or use of record, whether for breach of contract, tortuous behaviour, negligence, defamation, or under any other cause of action.

本App不負責及不承擔任何損害或損失, 無論該些損害或損失是因使用eBizCard而引致的故障、錯誤、遺漏、干擾、刪改、缺點、傳送或接收的錯誤或延誤、因下載而感染電腦病毒、通訊 系統故障、盜用或損壞或未獲授權登入、更改或使用紀錄而造成的，亦不論是否因而引致毀約、侵權、疏忽、誹謗及其他訴訟而造成的任何損害或損失。

If you are dissatisfied with eBizCard, the materials available on or through the Member Service, eBizCard or with the provisions of this TOU & Notices, you agree that your sole and exclusive remedy is to discontinue using eBizCard or any of eBizCard’s other products and services.

如閣下不滿意eBizCard的任何資訊，會員服務，或本條款及通告的內容，閣下同意閣下唯一及獨有的方法是停止使用eBizCard或任何eBizCard的產品及服務。

the App will take reasonable measures to maintain the privacy and security of all private information provided by you to eBizCard, but third parties (such as hackers) may breach or attempt to breach the App's security measures or may gain unauthorized access to eBizCard database or other equipment containing your information. You agree that the App shall not be liable for damages of any sort, whether arising under contract, tort, or otherwise, with respect to any breach of security of eBizCard or any other company equipment or user information.

本App會以合理的策略保障所有閣下提供於eBizCard的私人資料的私隱及安全，但第三者（如黑客）可能破壞或嘗試破壞本App的安全策略或得到未授權的進入eBizCard的資料庫或其他包含閣下資料的設施。閣下同意本App不需因eBizCard的保安，其他設備或用戶資料受保壞而產生的任何損生負責，不論任何因合約，民事侵權或其他因素產生。

This "Flash Jetso" push notification message contains information provided by a third party. eBizCard shall make no representation or warranty regarding the accuracy of the information, and shall have no liability to any loss incurred in reliance of the information.

You agree to indemnify and hold the App, its officers, directors, employees, agents, shareholders, licensors, suppliers and any third party information providers whosoever indemnified against any claims losses damages (actual and consequential), suits, judgments, litigation costs and liabilities or expenses whatsoever in nature made by any third party due to or arising out of Member’s use of Membership Services, the violation of this TOU & Notices by Member, use of Member’s computer by Member or other persons resulting in infringement of any intellectual rights and other rights of any person or entity.

閣下同意負責及彌償本App、職員、董事、員工、代理人、股東、認可者、供應商或其他夥伴或任何有關人仕的一切因會員使用會員服務、違反本會員使用條款或會員或其他人使用會員的電腦而侵犯其他人仕之知識產權或其他權利而招致任何人作出之申索、損失、賠償 (無論真實及間接的)、訴訟、裁決、訴訟費用及任何形式的責任或費用。

The provisions of this paragraph are for the benefit of the App and its officers, directors, employees, agents, shareholders, licensors and suppliers to eBizCard. Each of these individuals or entities shall have the right to assert and enforce these provisions directly against you on its own behalf.

eBizCard may contain links to third party Web sites ("Linked Websites") and include advertisements. You agree that Linked Websites and advertisements are necessary for the App to provide the Member Service. Such links and advertisements are provided to you only as a convenience. the App shall not be responsible if the Linked Website is not working appropriately. the App has no control over such websites and resources and shall not be responsible for the contents of any Linked Website or advertisement, including without limitation any link contained in a Linked Website and does not endorse any content, advertising, products, or other materials on or available from such websites or resources. You are responsible for viewing and abiding by the privacy statements and terms of use posted at the Linked Websites, and for taking precaution to ensure that whatever you select for your use is free of viruses, worms, Trojan horses and other items of a destructive nature.

eBizCard內可能包含第三者網站的連結（連結網站）及廣告。閣下同意本App須要連結網站及廣告來提供會員報務。該連結及廣告只是作為一種便利向閣下提供。本App對該連結是否有效不負任何責任。本App沒有權利控制該些網站和資源，亦不能夠對任何該連結及廣告的內容，包括但不限於任何在該些網站的連結及不認同任何在該些網站及廣告張貼的內容、廣告、產品或其他內容。閣下須負責瀏灠和遵守有關連結網站的使用及私隠條款，並採取預防措施確保閣下選擇使用的連結沒有電腦病毒，蠕蟲，木馬程式及其他破壞性的程序。

Any dealings with third parties (including advertisers) over the Linked Websites or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the advertiser, merchant or other third party. You agree that the App shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such website or resource. The purchase of any product or service from a merchant from a Linked Website is a transaction solely between you and that merchant, and any question or dispute you may have regarding any such product or service should be addressed directly to the responsible merchant. the App has no responsibility or liability for any merchant or your relationship with such merchant.

the App reserves the right to disclose any personal information about you or your use of the Member Service and without your prior permission if the App in good faith, believes that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of the App or its holding or affiliated company; (3) enforce this TOU; or (4) act to protect the interests of its members or others.

Any non-personal information or material sent to the App by you will generally NOT be treated as confidential.

eBizCard, all images, text, graphics, logos, sound, programs and any other material (“Content”) found on eBizCard are protected by trademark, copyright, or other intellectual property laws and international treaties. Any commercial use of eBizCard and Content found on eBizCard is strictly prohibited, without the App’s express and prior written consent. Any reproduction or redistribution of Member Service, and Content found on eBizCard, not in accordance with the TOU herein is expressly prohibited by law, and may result in severe civil and criminal penalties.

Elements of eBizCard, its design and layout are protected by trade dress and other laws and may not be copied or imitated in whole or in part.

No logo, graphic, sound or image from eBizCard may be copied or retransmitted unless expressly permitted by the App.

You acknowledge and agree that eBizCard and any necessary software used in connection with eBizCard ("the Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. the App reserves all rights in the not expressly granted herein, including without limitation ownership and proprietary rights.

The Software is made available for downloading solely for use by you for your individual, non transferable, non-exclusive and non-commercial use, use in connection with Member Service. The Software is made available solely for use by you in accordance with the terms of this TOU and the terms of any end user license agreement (“License Agreement”) which accompanies or is included with the Software. You may not install or use any part of the Software unless you first agree to the terms of this TOU and any License Agreement. The Software is "in use" on a computer when it is loaded into the temporary memory (i.e. RAM) or installed into the permanent memory (e.g., hard disk, CD-ROM, or other storage device) of that computer.

You may not copy the Software to any other server or location for further reproduction or redistribution. You may not reverse engineer, decompile, disassemble or modify the Software, except insofar as such restriction is prohibited by law.

Any reproduction or redistribution of the Software not in accordance with this TOU & Notices and any License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

Without limiting the provisions of Section 5 above, the Software is provided "as is," and the App hereby disclaims all warranties and conditions with regard to the Software, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.

除了此條款第五節所限制，該軟件是以“現狀”提供使用．本App拒絕保證對該軟件的任何保養及條件，包括所有蘊藏可推廣的保養及條件，滿足某種需求，所有權及違反版權。

the App reserves all rights in its corporate names, service marks, logos, trade names, trademarks, websites and domain names (collectively "Marks") and nothing in this TOU grants you the license to use such Marks. Additionally, other marks which appear on this site may be marks of third parties that are not affiliated with the App. the App do not control or endorse the content of third party websites.

本App對本身的公司名稱，服務標記，標誌，商業名稱，商標，網站及網域名稱（統稱標記）保留所有權利。此條款並不淮許閣下使用該類標記。己其他於eBizCard內的標記可能屬於並非與本App聯營的第三者．本App未可控制或批淮任何第三者網站的內容。

This TOU & Notices are governed by the laws of Hong Kong SAR, without reference to conflict of laws principles. Any dispute between you and the App regarding this TOU & Notices will be subject to the exclusive jurisdiction of the courts located in Hong Kong SAR and you expressly waive all defenses to jurisdiction. You agree that eBizCard shall, for the purpose of determining jurisdiction and applicable law, be deemed to have originated and been provided by the App in and from Hong Kong SAR.

此條款及通告受香港特別行政區的法律管轄而不包括衝突規範。任何閣下與本App之間對此條款及通告的爭執將受制於單一的香港特別行政區內的法院審判。閣下亦明確表示轄免對審判的抗辯。閣下同意eBizCard應對決定審判權及適用法律的時候，意見源於香港特別行政區法律及由本App提供。

This TOU & Notices contain the entire understanding between the parties hereto with respect to eBizCard, and supersedes all previous oral or written agreements or understandings between you and the App, and no advice or information, whether oral or written, obtained by you from eBizCard (whether before or after the date you accept this TOU & Notices) shall create any obligation or warranty on the part of the App not expressly stated herein. You may also be subject to additional terms and conditions that may apply when you use any services offered by the App, third-party content or third-party software. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this TOU & Notices.

此條款及通告包含所有有關各方對eBizCard的理解並取代以往所有口頭上或書面上的協議，或任何閣下與本App之間的理解。並且，任何通告及資訊，不論為口頭上或書面上，閣下以往經由eBizCard獲得（無論於閣下接受此條款及通告之前或之後獲得）將構成任何本App未有在此聲明的責任或保證。閣下亦可能受制於附加的條款及條件，當閣下使用任何本App提供的服務，第三者的內容或第三者的軟件。任何各方的行為或商業慣例亦不構成修改此條款及通告的理由。

the App’ performance of this TOU & Notices is subject to existing laws and legal process, and nothing contained in this TOU & Notices is in derogation of the App's right and obligation to comply with governmental, court and law enforcement requests or requirements relating to your use of eBizCard or information provided to or gathered by the App with respect to such use.

本App執行此條款及通告是受制於現存法律及法律程序，並且此條款及通告內容不構成任何減低本App遵守法律，法庭的要求或閣下使用eBizCard時的要求或本App因為該使用而搜集及提供的資訊的權利。

If any provision(s) of this TOU & Notices is found by a court of competent jurisdiction to be invalid, then such provision(s) shall be construed, as much as possible, to give effect to the intentions of the parties as reflected in such provision(s) with the other provisions remaining in full force and effect.

若法庭裁定此條款中某條款無效，本App及會員同意法庭應儘量將有關宣告無效之條款以此會員使用條款之共同的意向作出註釋，而其他條款將保持有效。

the App’ failure to exercise or enforce any right or provision of this TOU & Notices shall not constitute a waiver of such right or provision unless acknowledged and agreed to by the App in writing.

除非本App以書面作出同意，縱使本App未有行使或執行此條款及通告所受予之權利，仍未能視為放棄有關條款之行為。

In case there arises discrepancy in Chinese and English versions, the English version shall prevail.

如本條款的中、英文本出現分歧，以英文文本為準。
